These Terms of Service (“Terms”) govern your use of the Open Sky ROI website and the digital advertising and related services provided by OpenMedia, LLC (“Open Sky ROI,” “we,” “us,” or “our”). By accessing our website or engaging our services, you agree to these Terms.
Open Sky ROI provides digital advertising management, landing page development, marketing strategy, and related consulting services. All services are subject to separate statements of work or proposals agreed upon in writing between you and Open Sky ROI.
Important: We do not guarantee specific results, return on investment (ROI), conversion rates, ad placements, lead volume, or any particular outcome from our services. Advertising performance depends on many factors outside our control, including but not limited to platform policies, competition, creative quality, budget, offer quality, and market conditions. All campaigns are subject to approval by the respective advertising platforms.
You are responsible for providing accurate information, timely feedback, and all necessary assets, access, and approvals required for us to perform the services. Delays caused by the client may affect timelines and results.
Fees for services will be outlined in your proposal or statement of work. Payment terms are typically net 15 unless otherwise agreed. Late payments may result in suspension of services.
Upon full payment, you own the final deliverables created specifically for you (landing pages, ad creative, etc.). We retain all rights to our methodologies, frameworks, templates, and pre-existing intellectual property.
Both parties agree to keep confidential all non-public information shared during the engagement.
To the maximum extent permitted by law, Open Sky ROI’s total liability arising out of or related to these Terms or the services shall not exceed the total fees paid by you to Open Sky ROI in the twelve (12) months preceding the claim. In no event shall we be liable for indirect, incidental, special, consequential, or punitive damages.
Either party may terminate services with 30 days’ written notice after the initial setup period. You remain responsible for all fees incurred through the termination date.
These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of laws principles. Any disputes shall be resolved in the state or federal courts located in Okaloosa County, Florida.
We may update these Terms from time to time. Continued use of our website or services after changes constitutes acceptance of the updated Terms.
